Service Agreements

Our software testing services are provided under separate service agreements that will specify the scope of work, deliverables, timelines, and fees. These Terms supplement but do not replace any specific service agreements. In case of conflict between these Terms and a service agreement, the service agreement shall prevail for matters specifically addressed therein.

User Obligations

When using our services, you are responsible for providing accurate and complete information, maintaining the confidentiality of any login credentials, ensuring you have the necessary rights to any materials you provide to us, cooperating with our team to facilitate service delivery, and complying with all applicable laws and regulations. You must also promptly notify us of any unauthorised use of your account or any security breaches.

You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission. Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms. By using our services, you consent to the collection and use of your information as described in our Privacy Policy. We comply with the General Data Protection Regulation (GDPR) and UK data protection laws.

Confidentiality

We understand that our testing services may involve access to confidential information about your software and business operations. We maintain strict confidentiality obligations and will not disclose your confidential information to third parties without your consent, except as required by law. We may enter into separate non-disclosure agreements for specific projects as needed.

Limitation of Liability

To the maximum extent permitted by law, Novionex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our website or services. Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim. This limitation applies regardless of the theory of liability, whether based on warranty, contract, statute, tort, or otherwise.

Disclaimers

Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. While we strive to provide accurate and reliable testing services, we cannot guarantee that our testing will identify all defects or vulnerabilities in your software. You acknowledge that software testing inherently involves limitations and that no testing can guarantee perfect software quality.

Payment Terms

Payment terms for our services will be specified in individual service agreements. Generally, invoices are payable within 30 days of the invoice date unless otherwise agreed. Late payments may incur interest charges as permitted by law. We reserve the right to suspend services for overdue accounts and to require payment in advance for future services.

Termination

Either party may terminate a service agreement in accordance with its terms. We reserve the right to terminate or suspend your access to our website or services immediately, without prior notice, if you breach these Terms or engage in conduct that we deem harmful to our business or other users. Upon termination, your right to use our services will cease immediately, and we may delete any data or content associated with your account.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government regulations. If such circumstances continue for more than 60 days, either party may terminate the affected service agreement upon written notice.

Governing Law

These Terms and any disputes arising from your use of our services shall be governed by and construed in accordance with the laws of Scotland and the United Kingdom. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Scotland. If you are a consumer resident in another EU member state, you may also bring proceedings in the courts of your country of residence.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "last updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms. We recommend reviewing these Terms periodically to stay informed of any updates.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Novionex regarding your use of our website and services. These Terms supersede all prior agreements, understandings, and communications, whether written or oral.
